Terms and Conditions of Use
1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the Proofademic AI platform (“Platform”, “Service”), operated by Proofademic AI Inc., a Canadian corporation with a registered address at 410 rue Saint-Nicolas, Suite 236, Montreal QC H2Y 2P5, Canada (“we”, “us”, “our”).
By accessing or using the Platform — with or without account creation — you confirm that you have read, understood, and agreed to be legally bound by these Terms. If you do not accept these Terms, you must not use our Service.
2. Eligibility
Our Service is intended for users who are at least 13 years of age. If you are under the age of majority in your jurisdiction (typically under 18), you must have permission from a parent or legal guardian to use the Platform, and they must directly supervise your use.
By using the Platform, you represent and warrant that:
- You are at least 13 years old;
- You have the legal capacity to enter into these Terms or have obtained parental or guardian consent;
- You agree to comply with these Terms in full.
3. Account Registration
To access certain features, you may be required to create an account. You agree to provide accurate, complete, and up-to-date information. You are solely responsible for safeguarding your account credentials and for all activities under your account.
We reserve the right to suspend or terminate accounts that are in breach of these Terms or that pose security or legal risks.
4. Description of Services
Proofademic AI provides tools for detecting AI-generated content. Our proprietary AI models process user-submitted text to determine AI likelihood.
The Platform is offered on an “as-is” and “as-available” basis. We make no warranties regarding the accuracy or fitness of the results for any specific purpose.
5. User Responsibilities and Acceptable Use
You agree not to use the Service:
- For any illegal, harmful, or deceptive activity;
- To infringe on intellectual property or proprietary rights;
- To submit harmful code, spam, or unauthorized advertising;
- To attempt unauthorized access to our systems or other user accounts.
You further agree to comply with all applicable laws and regulations when using the Platform.
6. Intellectual Property and AI Outputs
All intellectual property related to the Platform, including source code, design, branding, AI models, and analytics, remains the sole property of Proofademic AI Inc.
Users retain ownership of the original content they submit. AI-generated output is provided under a limited, non-exclusive license for personal or business use, subject to compliance with these Terms. We do not guarantee exclusivity or originality of any AI output.
7. Subscription, Payments & Cancellation
Subscriptions auto-renew unless canceled before the billing cycle. If you cancel during a payment retry window, you remain responsible for that billing period. Cancellation only prevents future charges.
We offer monthly and annual subscriptions. All payments are processed through secure third-party providers (e.g., Stripe). Subscriptions auto-renew by default unless canceled through the user dashboard.
You may cancel at any time. Cancellation prevents future charges but does not entitle you to a refund for time remaining in the billing cycle.
If you initiate a chargeback, we reserve the right to suspend your access and retain funds to cover administrative and legal costs. Filing a chargeback under false pretenses constitutes a breach of these Terms.
In the event we discontinue the Services or cease operations, no refunds or compensation will be issued for unused time or credits.
8. Return & Refund Policy
All purchases are final and non-refundable.
Given the nature of our digital service and instant access to AI tools upon payment, we do not offer refunds, credits, or exchanges under any circumstances, including but not limited to:
- User dissatisfaction with output,
- Subscription cancellation,
- Unused time or features,
- Failure to cancel before renewal.
By purchasing a subscription or product, you explicitly waive any statutory right to withdraw from the contract once access to the Platform has been granted, in accordance with applicable consumer protection laws governing digital goods.
This approach is consistent with industry practices and aligned with terms of comparable AI content providers.
9. Corrections and Limitation of Liability
We reserve the right to correct any errors or omissions and to update the information at any time without prior notice.
We shall not be liable for any direct, indirect, incidental, punitive, exemplary, or consequential damages, regardless of the legal theory, even if we have been advised of the possibility of such damages. Our vendors, licensors, and affiliates are similarly protected.
To the fullest extent permitted by law, Proofademic AI Inc. disclaims any liability for indirect, incidental, special, or consequential damages, including lost profits, data loss, or reputational harm arising from your use of the Service.
Our total liability for any claim shall not exceed the amount you paid to us in the three (3) months preceding the claim, even if the remedy fails of its essential purpose.
By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimer of Warranties
The Platform and its outputs are provided “as-is” without any warranties, express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
You acknowledge that AI-generated content may not be legally or factually accurate and should be independently reviewed before use.
11. Privacy and Data Protection
Your privacy is important to us. We collect and process personal data in accordance with applicable laws, including the GDPR and CCPA. By using the Service, you consent to our data practices.
We collect the following:
- Email addresses, IP addresses, and optional names;
- Text submitted by users for processing;
- Analytics and tracking data (Google Analytics, PostHog, Microsoft Clarity);
- Third-party marketing pixels (Google, Meta, TikTok, Reddit, Quora, Twitter).
Service Interruptions: The Services may be temporarily unavailable due to maintenance or unforeseen circumstances. We are not liable for any losses or damages caused by such interruptions.
We use this data solely to operate, maintain, and improve our services. We do not sell or share user data with unaffiliated third parties.

12. Service Availability and Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without liability. We do not guarantee uninterrupted access or error-free performance.
We may make changes to these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Changes will become effective immediately for new users and 30 days after publication for existing users, unless you terminate your agreement with us within that period. Continued use of the Services beyond that time will constitute acceptance of the updated Terms.
13. Arbitration and Class Action Waiver
To the extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved by binding individual arbitration, and not in a class, collective, consolidated, or representative action or proceeding.
You agree that any arbitration shall be conducted in Montreal, Quebec, and you waive your right to a trial by jury or to participate in a class action.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Montreal, Quebec.
The parties waive any objection based on inconvenient forum and agree to submit to the personal jurisdiction of such courts.
If required by law, the parties agree to engage in good-faith informal negotiations or mediation before initiating legal action.
